Terms and Conditions

By using our services, you agree to our terms and conditions. Please read them carefully. This agreement governs the relationship between you (the “Customer”) and Medpak Solutions (the “Company”) for the production, fulfillment, and distribution of your products.

I. Scope of Work

Our scope of work is finalized once the quote is signed. Production order quantities may vary by up to 10%. Minimum order quantities (MOQ) begin at 2,500 units. (Note: Prices and MOQs are subject to change without notice.)

II. Price and Payment Terms

To get things started, we require a 50% deposit for all orders. Once we receive the deposit, we order your materials, so it’s non-refundable. We prefer ACH or wire transfers. However, if you opt to pay by credit card, a 4% processing fee will apply. The balance is due before shipment.

III. Branding and Packaging Claims

It’s your responsibility to comply with all packaging, labeling, and product identification regulations. You must also assure your order does not infringe upon any third-party rights. 

  • If any third party raises claims, you agree to indemnify us. This includes responsibility for any artwork, product design, and marketing claims, whether provided by you or us.
  • You must have full rights to use logos or symbols from your brand or a third party. If a third party asserts a claim, you will indemnify Medpak Solutions promptly. (Important Note: We are not an over-the-counter (OTC) provider.)

IV. Production Timeline and Delays

Our standard turnaround time is 30-45 business days. Delays or failures in delivery due to force majeure events (such as war, pandemics, or supply chain disruptions) will not result in damages.

  • If a delay makes delivery unreasonable for you, you may cancel the order, but no damages will be owed.
  • If we are late in delivery, you can set a reasonable deadline of at least four weeks for completion. 
  • If we fail to meet that deadline, you may cancel the agreement. Any cancellations must be in writing.

We track key performance indicators (KPIs) such as line efficiency, lead times, and order status so your products are produced on time. 

Force majeure events include, but aren’t limited to, strikes, transportation disruptions, natural disasters, and unforeseen circumstances that are beyond our control.

V. Storage and Finished Goods

We don’t store finished goods unless we’re handling fulfillment. Storage fees will apply if you don’t arrange pickup within one week of production completion. Any customer-supplied materials that go unused for six months will incur a storage or return shipping fee unless there’s an active purchase order.

Medpak Solutions retains ownership of all goods delivered until full payment is received for all outstanding claims, including future claims. If a current account is maintained, this ownership retention applies to the outstanding balance as well.

VI. Damaged Goods and Claims

If you receive damaged products, notify us within 7 days of receipt. We will decide whether to re-supply or fix the issue. 

  • We’ll try again if our first attempt doesn’t resolve the issue. 
  • If it still fails, you may either cancel the order or accept a price reduction based on the defect’s value.

Claims related to defects are limited to intentional misconduct or gross negligence. You must provide evidence of damages and any associated expenses. Claims for lost profits or reputational damage are excluded. We are not liable for damages caused by shipping companies.

VII. Cosmetic Product Development and Launch Timelines

Industry standards for cosmetic formula planning and product launches can vary. Normally, it takes around a year, but at Medpak Solutions, we streamline our processes to get your product ready in about four months. This includes PET testing and one year of stability testing. Keep in mind that some products might still take longer, depending on the specifics.

VIII. Intellectual Property and Proprietary Information

We respect your intellectual property. Medpak Solutions is ISO 22716 certified and FDA-compliant, ensuring the security of your product’s proprietary information. We work to continuously improve our processes, providing the best results for your products.

  • If we’re transferring products, we’ll need benchmarks from your current products. Our chemists will then analyze and match the formula to guarantee your product’s consistency. 
  • We aim to deliver the same result, even if it requires adjustments to the formula. However, we will never modify your INCI or labeling without prior approval.

IX. Tech Transfer Process

Our tech transfer process is straightforward and efficient. 

  • We start by analyzing the benchmarks of your current products and then formulate from there. 
  • Our lab will compare the benchmark with our findings and send samples for your approval. 
  • Once approved, we’ll begin the stability testing. We aim for a smooth transition without any hassle for you.

You are only required to approve your formula, which confirms we can proceed without unnecessary delays. If you’d like to visit our facilities, we welcome the opportunity to give you a tour and introduce you to the team. We value transparency and believe building a relationship is key.

X1. Inventory Management

We store your products in temperature-controlled facilities, with security systems in place to ensure their integrity. And yes, we’re fully insured, so you have peace of mind in the event of an accident.

XII. Stock Footage Usage

All images and video content on our website are sourced from licensed stock footage providers. Medpak Solutions ensures that all stock footage is used in compliance with the respective licensing agreements, which may include specific usage rights and restrictions. 

XIII. AI Tools Integration

In our commitment to innovation, Medpak Solutions maximizes the use of artificial intelligence tools in our operations and content creation processes. These AI tools assist in improving the quality and efficiency of our services. However, they do not replace the need for human oversight and creativity. All AI-generated content is subject to review and approval by our team to guarantee it aligns with our standards and values.

The prices indicated in our content are estimates only and are subject to change without prior notice. These estimates are based on current market conditions and may vary depending on specific project requirements or changes in material costs. Medpak Solutions encourages all our clients to contact us directly for a detailed quote tailored to their needs.
